These Terms of Use (“Terms”) govern your access to and use of our website located at compoundingmemo.com (the “Website”), along with any content, products, newsletters, subscriptions, emails, downloadable materials, and related services we provide (collectively, the “Services”).
By accessing or using the Website or Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Website or Services.
By agreeing to these Terms of Use, you also acknowledge and accept our Privacy Policy and Investment Disclaimer, which are incorporated by reference.

Compounding Memo provides educational and informational investment-related content, including but not limited to:
- Free articles and commentary
- Paid monthly newsletters, including:
- Capital Appreciation
- Cash Flow
- Capital Preservation
- Portfolio allocation information and model portfolio weight updates
- Downloadable PDF documents
We reserve the right to modify, suspend, discontinue, or restrict any part of the Services at any time without notice.
04No Investment Advice; No Fiduciary Relationship
Compounding Memo is not a registered investment adviser, broker-dealer, or financial planner.
Nothing on the Website or in the Services constitutes:

06Subscription Services
Certain Services are offered through paid monthly subscriptions (“Subscription Services”). By purchasing a Subscription Service, you agree to the Subscription Terms below.
6.1Billing and Automatic Renewal
All Subscription Services are billed on a monthly recurring basis unless cancelled.
By subscribing, you authorize Compounding Memo to charge your selected payment method on a recurring basis through our payment processor (Stripe) until you cancel.
Your subscription will automatically renew each month unless you cancel before the renewal date.
6.2Cancellation Policy
You may cancel your subscription at any time through the Stripe customer portal or other cancellation method we provide.
Your cancellation will take effect at the end of the current billing cycle. You will retain access to the Subscription Services until the end of the paid period.
6.3No Refund Policy
All subscription payments are final. We do not offer refunds.
This includes but is not limited to:
- Unused subscription time
- Accidental purchases
- Failure to download content
- Dissatisfaction with the content
- Cancellation after renewal
By subscribing, you acknowledge and agree to this no-refund policy.
6.4Pricing Changes
We may change subscription pricing at any time. If we do, we will provide notice via email to your registered email address at least fifteen (15) days before the updated pricing takes effect. The updated pricing will apply to your next billing cycle following the notice period.
6.5Payment Processing
Payments are processed by third-party providers, including Stripe. We do not store your full payment card details.
You agree to comply with Stripe’s terms and conditions when using Stripe-powered billing features.
07Content Delivery and Access
Subscription content may be delivered through:
- Email communications
- File-sharing links
- Other delivery mechanisms we may implement
You acknowledge and agree that access to subscriber content may require third-party services. Compounding Memo is not responsible for outages, errors, delays, broken links, file availability issues, or service interruptions caused by third parties.
08Prohibited Sharing and Redistribution
All Subscription Services are provided for individual use only.
You agree that you will not:
- Share subscriber-only content with non-subscribers
- Forward, repost, upload, copy, or distribute paid materials
- Publish paid content online or in any public forum
- Resell or sublicense our content
- Provide our newsletters or portfolio weights to any third party
You may download and print materials for your personal, non-commercial use only.
Violation of this section may result in immediate termination of your subscription without refund.
09Intellectual Property
All content provided through the Website and Services, including but not limited to text, newsletters, PDFs, portfolio allocations, branding, logos, graphics, charts, downloadable materials, email content, and website layout and design, is owned by or licensed to Compounding Memo LLC and is protected under United States copyright and intellectual property laws.
Except as expressly permitted in these Terms, you may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of the Services without our prior written consent.
10Prohibited Conduct
You agree not to:
- Violate any applicable laws or regulations
- Attempt to gain unauthorized access to the Website or systems
- Interfere with or disrupt Website functionality
- Scrape, copy, or harvest data from the Website

11AI Training and Data Mining Prohibited

This includes but is not limited to use by bots, crawlers, scripts, or automated tools.

- Calculations, portfolio weights, performance metrics, and total return figures may be affected by third-party data errors
Compounding Memo does not guarantee the accuracy or completeness of third-party data and is not responsible for losses or damages resulting from reliance on such data.

The Website may contain links to third-party websites, including links through which we may earn affiliate or referral compensation if you make a purchase. These links are provided for your convenience and, in some cases, may also financially benefit us.
We do not control third-party websites and are not responsible for their content, policies, services, or availability. Your use of third-party websites is at your own risk.
14Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
COMPOUNDING MEMO LLC MAKES NO WARRANTIES OR REPRESENTATIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
We do not guarantee that any content is accurate, complete, or up to date.
15Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPOUNDING MEMO LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE OR SERVICES. THIS INCLUDES, WITHOUT LIMITATION:
- INVESTMENT LOSSES
- LOST PROFITS
- LOST DATA
- BUSINESS INTERRUPTION
- MISSED OPPORTUNITIES
- LOSSES ARISING FROM RELIANCE ON ANY CONTENT
IN ALL CASES, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO COMPOUNDING MEMO LLC IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow limitations of liability, so certain limitations may not apply to you.
16Indemnification
You agree to defend, indemnify, and hold harmless Compounding Memo LLC and its owners, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including attorney fees) arising out of or related to:

- Your violation of these Terms
- Your violation of any law or regulation
- Your infringement of any intellectual property rights
17Suspension and Termination
We may suspend or terminate your access to the Website or Services at any time, with or without notice, if we believe you violated these Terms or engaged in conduct harmful to Compounding Memo or others.
If your subscription is terminated due to a violation of these Terms, no refund will be provided.
18Communications and Email Consent
By using the Services or subscribing, you consent to receive communications from us electronically, including:
- Subscription-related notices
- Delivery of paid content
- Transactional emails
- Updates to the Services
- Marketing communications (where applicable)
You may unsubscribe from marketing emails at any time. Marketing emails are sent in compliance with the CAN-SPAM Act. However, you may not opt out of transactional emails required for subscription delivery and service operation.
19Privacy Policy
Your use of the Website and Services is also governed by our Privacy Policy, available at compoundingmemo.com/privacy-policy.
20Dispute Resolution; Arbitration Agreement; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
20.1Informal Resolution
Before initiating arbitration or legal proceedings, you agree to contact us and attempt to resolve the dispute informally by emailing: contact@compoundingmemo.com
We will attempt to resolve disputes in good faith within thirty (30) days.
20.2Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration, rather than in court, except that either party may bring claims in small claims court if eligible.
Arbitration shall be conducted in accordance with the rules of the American Arbitration Association (“AAA”) or another mutually agreed arbitration provider.
The arbitration shall take place in North Carolina, unless otherwise agreed.
20.3Class Action Waiver
YOU AGREE THAT ANY CLAIM MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. CLASS ACTIONS AND CLASS ARBITRATIONS ARE NOT PERMITTED.
20.4Time Limitation
Any claim arising out of or relating to these Terms must be brought within one (1) year of the event giving rise to the claim, unless prohibited by law.
21Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of law principles.
22Waiver
The failure of Compounding Memo to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Compounding Memo.
23Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Compounding Memo. Compounding Memo may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
24Survival
The following sections shall survive any termination or expiration of these Terms: Section 4 (No Investment Advice), Section 5 (Risk Disclosure), Section 8 (Prohibited Sharing), Section 9 (Intellectual Property), Section 11 (AI Training Prohibited), Section 14 (Disclaimer of Warranties), Section 15 (Limitation of Liability), Section 16 (Indemnification), Section 20 (Dispute Resolution), Section 21 (Governing Law), and this Section 24 (Survival).
25Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, the remaining provisions will remain in full force and effect.
26Entire Agreement
These Terms constitute the entire agreement between you and Compounding Memo LLC regarding your use of the Website and Services and supersede any prior agreements or communications.
